1. Definitions and Scope
1.1. In these Terms & Conditions, unless the context otherwise requires:
- “AVIACO”, “we”, “us” or “our” means AVIACO, a French société par actions simplifiée (SAS) with SIREN 938 653 409, whose registered office is at Avenue Jacqueline Auriol – Boulevard Claudie Haignere, ZAC des Flo, 13700 Marignane, France.
- “Customer”, “you” or “your” means the natural or legal person placing an order or using this website.
- “Products” means the Part 145 helicopter spare parts and related items offered for sale on the website.
- “Order” means any order for Products placed by the Customer via the website and accepted by AVIACO.
- “Contract” means the contract formed between AVIACO and the Customer upon acceptance of an Order.
1.2. These Terms & Conditions apply to all access to and use of the website operated by AVIACO and to all Orders placed through it. By creating an account, placing an order, or using the website, you agree to be bound by these Terms & Conditions. If you do not agree, you must not use the website or place an order.
2. Account and Registration
2.1. Access to the full catalogue, pricing, and the ability to place orders may require registration and approval of an account. You undertake to provide accurate, current, and complete information and to update it as necessary.
2.2. You are responsible for maintaining the confidentiality of your login details and for all activity under your account. You must notify us immediately of any unauthorised use.
2.3. We reserve the right to refuse, suspend, or close an account at our discretion, including in the event of breach of these Terms & Conditions or of applicable law.
3. Products and Product Information
3.1. The Products offered are Part 145 helicopter spare parts (and related items) intended for professional use in the aviation sector. Descriptions, images, part numbers, and specifications are given in good faith but do not constitute a guarantee that the Product matches any particular standard beyond what is stated on the product page and in the accompanying documentation (e.g. EASA Form 1).
3.2. We use reasonable efforts to ensure that information on the website is accurate and up to date. We do not warrant that product descriptions, availability, or other content are error-free, complete, or current. We reserve the right to correct errors and to modify or withdraw Products without prior notice.
3.3. It is your responsibility to verify that the Products ordered are suitable for your intended use and comply with applicable airworthiness and regulatory requirements.
4. Prices and Payment
4.1. All prices are displayed in the currency indicated on the website (e.g. EUR) and are inclusive of applicable VAT unless otherwise stated. Any additional taxes, customs duties, or charges in your country are your responsibility.
4.2. We reserve the right to change prices at any time. The price applicable to your Order is the price displayed at the time you place the Order, subject to our acceptance.
4.3. Payment is due as indicated at checkout. We use secure payment processing (including Stripe). By placing an order you authorise us to charge the chosen payment method for the total amount of the Order (including shipping and any applicable taxes).
4.4. Failure to pay when due may result in cancellation of the Order and/or suspension of your account, without prejudice to any other rights we may have.
5. Orders and Acceptance
5.1. Placing an order constitutes an offer to purchase the Products on these Terms & Conditions. A contract is formed only when we send you an order confirmation (by email or through the website). We are not obliged to accept any order and may refuse or cancel an order (in whole or in part) for any reason, including but not limited to: unavailability of Products, pricing or description errors, suspected fraud, or failure to meet our credit or compliance criteria.
5.2. If we cancel an order after payment has been taken, we will refund the amount paid for the cancelled items.
6. Delivery and Passing of Risk
6.1. Delivery terms (including shipping options and estimated delivery times) are indicated at checkout and/or in the order confirmation. Delivery times are estimates only and do not constitute a binding commitment. We shall not be liable for delays caused by carriers, customs, or force majeure.
6.2. Risk in the Products passes to you upon delivery to the address you specified (or, where applicable, upon handover to the carrier). Ownership of the Products passes to you upon full payment of all amounts due in respect of the Order, including shipping.
7. Warranty and Limitation of Liability
7.1. We warrant that the Products will substantially conform to their description and to the documentation supplied (e.g. EASA Form 1) at the time of delivery. Any claim for non-conformity must be notified to us within a reasonable time and in any event in accordance with our Returns & Refunds policy. Our liability for breach of this warranty is limited to replacement of the non-conforming Product or refund of the price paid for it, at our option.
7.2. Save as set out in clause 7.1 and to the extent permitted by applicable law: (a) we exclude all other warranties, whether express or implied; (b) we shall not be liable for any indirect, consequential, or punitive loss or damage (including loss of profit, revenue, or data); and (c) our total liability in respect of any Order shall not exceed the price paid by you for the Products the subject of that Order.
7.3. Nothing in these Terms & Conditions excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other matter that cannot be excluded or limited under applicable law.
8. Returns and Refunds
Returns and refunds are governed by our Returns & Refunds policy. By placing an order you agree to the terms of that policy.
9. Intellectual Property
All content on this website (including but not limited to text, graphics, logos, images, and software) is the property of AVIACO or its licensors and is protected by intellectual property laws. You may not reproduce, modify, or use such content for commercial purposes without our prior written consent.
10. Personal Data
Processing of your personal data in connection with the website and orders is described in our Privacy Policy, which forms part of these Terms & Conditions by reference.
11. Force Majeure
We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control (including but not limited to natural disasters, war, terrorism, embargo, pandemic, strikes, or failure of suppliers or carriers). In such event we may suspend or cancel the affected order and refund any sums paid in respect of unfulfilled obligations.
12. General
12.1. If any provision of these Terms & Conditions is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
12.2. We may amend these Terms & Conditions at any time. The version in force at the time you place an order applies to that order. Continued use of the website after changes constitutes acceptance of the revised terms.
12.3. These Terms & Conditions are governed by French law. Any dispute shall be subject to the exclusive jurisdiction of the courts of France, save where mandatory law (e.g. for consumers in the EU) requires otherwise.
